1. Introduction

These Terms and Conditions (“Terms”) govern the access to and use of the website, mobile application, research services, subscription products, digital tools, alerts, communications, and all related services (collectively referred to as the “Platform”) operated by Money Bells Global Research Services Private Limited (“Money Bells”, “Company”, “Research Analyst”).

 

Money Bells is registered with the Securities and Exchange Board of India as a Research Analyst under Registration No. INH100009901 pursuant to the SEBI (Research Analysts) Regulations, 2014 and applicable amendments, circulars, and master circulars issued from time to time.

 

By accessing, registering, subscribing, downloading the mobile application, or using the Platform in any manner, the User (“User” or “Client”) agrees to be legally bound by these Terms. If the User does not agree, access must be discontinued immediately.

2. Regulatory Status

Money Bells operates solely as a SEBI-registered Research Analyst. SEBI registration does not imply endorsement, approval of research quality, certification of accuracy, or guarantee of returns. The Company does not eliminate market risk and does not provide assured profits.

 

Money Bells does not act as a Portfolio Manager, Stock Broker, Depository Participant, Custodian, or discretionary investment manager. The Company does not execute trades or hold client funds.

3. Nature and scope of services

The Company provides research-oriented services including equity research reports, technical analysis, fundamental analysis, derivative strategies, model portfolios, market commentary, trading insights, and educational material related to securities markets. All research content represents analytical opinions prepared using publicly available information, internal methodologies, and professional judgment.

 

The services are strictly non-discretionary and informational in nature. The Company does not undertake responsibility for investment decisions, portfolio allocation, or trade execution. All decisions taken based on research published on the Platform are solely at the discretion and risk of the User.

4. Eligibility and account registration

Access to the Platform is available only to individuals who are at least eighteen (18) years of age and legally competent to contract under applicable law. By registering, the User represents that all information provided is true, complete, and accurate.

 

The User is responsible for maintaining confidentiality of login credentials. Money Bells reserves the right to suspend, restrict, or terminate accounts in cases of false information, regulatory directives, misuse, breach of Terms, or non-payment of subscription fees.

5. Client information and regulatory compliance

The Company may require Users to provide personal details including PAN, contact information, financial profile, and risk assessment data for regulatory compliance. Money Bells shall maintain records of research reports, communications, and client interactions as required under SEBI regulations.

 

Providing inaccurate or misleading information may result in termination of services and reporting to regulatory authorities where required.

6. Mandatory disclosures and mitc

The User acknowledges that research services are subject to the SEBI (Research Analysts) Regulations, 2014. The Company provides research subject to regulatory disclosures including nature of service, risks, and conflicts of interest.

 

Money Bells does not guarantee returns, capital protection, or accuracy of projections. Securities markets are subject to volatility and uncertainty. Research reports represent professional opinions and may not always materialize as anticipated.

 

Where applicable, conflicts of interest shall be disclosed within research communications.

7. Past performance disclosure

Where historical performance data, trade summaries, model portfolio returns, hit ratios, or back-tested results are displayed on the Platform, such information is provided solely for informational and illustrative purposes. The relevant time period, methodology of calculation, assumptions used, and whether figures are gross or net of fees shall be disclosed wherever applicable.

 

All performance representations shall prominently include the statement:

 

“Past performance is not indicative of future results.”

 

The User acknowledges that past performance does not guarantee future outcomes. Money Bells reserves the right to modify, suspend, or withdraw any performance data to ensure regulatory compliance or correct inadvertent inaccuracies.

8. Subscription, fees and payment terms

Subscription plans, features, validity periods, and pricing are displayed on the Platform. By subscribing, the User agrees to pay the applicable fees through authorized electronic banking channels. Cash payments are strictly prohibited.

 

Unless expressly stated otherwise, subscription fees once paid are non-refundable. Partial usage, dissatisfaction, or non-usage does not entitle the User to a refund. Access to services remains valid only for the subscription period purchased.

 

Money Bells reserves the right to revise pricing, modify features, or discontinue products at its discretion.

9. Mobile application terms

The Money Bells mobile application (“App”) is licensed, not sold, to the User for personal, non-commercial use. Ownership of the App and all associated intellectual property rights remain exclusively with Money Bells.

 

The User shall not reverse engineer, decompile, modify, reproduce, redistribute, or commercially exploit the App or its content without prior written consent.

 

The App may be distributed via third-party platforms including but not limited to Google Play Store and Apple App Store. Such platforms are not responsible for research services, subscription management, content accuracy, or regulatory compliance. All service-related obligations remain solely with Money Bells.

 

Access to the App requires compatible devices and internet connectivity. The Company does not guarantee uninterrupted access and shall not be liable for device incompatibility, network failures, operating system updates, or technical disruptions beyond reasonable control.

 

The User consents to receive push notifications, research alerts, renewal reminders, and regulatory communications via the App. Essential communications may also be sent through registered email or SMS.

10. User responsibilities

The User agrees to exercise independent judgment before making any investment decision and to seek professional advice where necessary. Research content shall not be relied upon as the sole basis for investment decisions.

 

The User shall not copy, redistribute, publish, transmit, or commercially exploit any paid research content without written authorization. Unauthorized sharing may result in termination and legal action.

 

The User assumes full responsibility for all investment decisions and related consequences.

11. Intellectual property rights

All research reports, data compilations, proprietary methodologies, trademarks, designs, software, and analytical frameworks available on the Platform are exclusive intellectual property of Money Bells.

 

Unauthorized use, reproduction, distribution, or exploitation may result in civil and criminal liability.

12. Limitation of liability

To the maximum extent permitted by applicable law, Money Bells, its directors, officers, employees, affiliates, and agents shall not be liable for trading losses, market volatility, indirect or consequential damages, reliance on research content, broker-related execution errors, data inaccuracies, system interruptions, or technical failures.

 

In any event, the aggregate liability of Money Bells shall not exceed the lower of (i) the total subscription fees paid by the User in the twelve (12) months immediately preceding the claim, or (ii) the unutilized portion of the subscription fee at the time the claim arises.

 

Nothing herein shall limit liability where such limitation is expressly prohibited under applicable law.

13. Indemnity

The User agrees to indemnify and hold harmless Money Bells, its directors, officers, employees, and affiliates from any claims, damages, penalties, or legal expenses arising from misuse of the Platform, breach of these Terms, violation of law, or unauthorized distribution of content.

14. No fiduciary relationship

Nothing contained in these Terms or any communication shall create a fiduciary, advisory, partnership, joint venture, or agency relationship between the Company and the User. The relationship is limited strictly to research service provider and subscriber.

15. Technology and ai disclaimer

Where algorithmic models, automated systems, or analytical tools are used in generating research insights, such outputs are informational in nature and subject to technological limitations. While reasonable oversight may be exercised, the Company does not guarantee error-free functioning of automated tools.

16. Force majeure

Money Bells shall not be liable for delays or failures caused by events beyond reasonable control including regulatory changes, internet outages, technical disruptions, natural disasters, or governmental actions.

17. Termination

Money Bells reserves the right to suspend or terminate access for breach of Terms, misuse, fraudulent conduct, non-payment, or regulatory direction. Termination does not entitle the User to a refund unless expressly stated.

18. Grievance redressal

Users may submit complaints to the Compliance Officer via the official contact details provided on the Platform. If unresolved, the User may escalate the complaint through SEBI’s SCORES mechanism. Else User Can Mail Us 

19. Governing law and jurisdiction

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts at New Delhi, India. The Company may, where appropriate, resolve disputes through arbitration in accordance with applicable laws.

20. Modification of terms

Money Bells reserves the right to modify these Terms at any time. Updated Terms shall be published on the Platform, and continued use constitutes acceptance.

21. Entire agreement

These Terms constitute the entire agreement between the User and Money Bells regarding use of the Platform and supersede any prior agreements or understandings.
